1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your use of the VSpace mobile application ("App"), operated by Muralidhar S, a company registered under the laws of India, with its registered office at Archyfolio, First Floor, Patil Planet, Solapur Road, Vijayapura, Karnataka ("Company", "we", "us", or "our").

By downloading, installing, accessing, or using the App, you ("User", "you", or "your") agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not use the App.

You may browse the App as a guest without creating an account. However, certain features — including saving favourites, setting property alerts, contacting developers, and reporting listings — require you to sign in with a Google account and provide a valid phone number.

By completing the sign-up process and checking the "I agree to the Terms and Conditions" box, you confirm that you have read, understood, and accepted these Terms in full.

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Platform Nature and Scope of Services

VSpace is an information and listing platform that enables users to discover, browse, and explore real estate properties and layouts (plots, residential developments, commercial spaces) in and around Vijayapura, Karnataka, India.

The App serves solely as a technology platform that enables property seekers to browse property listings published by developers/builders. Any engagement, negotiation, or transaction between you and a developer/builder occurs independently and entirely outside the App.

VSpace does not provide real estate advisory, legal, financial, or valuation services. Any information displayed on the App — including prices, areas, dimensions, amenities, and images — is provided by the respective developer/builder and is for informational purposes only.

Features Provided by the App

• Map-based property discovery with satellite view
• Property detail viewing (prices, dimensions, amenities, photos, location)
• Layout detail viewing (master plans, common areas, available plots)
• Saving properties to a favourites list
• Property alerts based on your search criteria (price range, property type, area)
• Sharing property listings via external platforms (WhatsApp, social media, etc.)
• Viewing developer profiles and their project portfolios
• Reporting suspicious or inaccurate listings
• Contacting platform administrators for support
• Accessing developer contact details for direct communication

3. Disclaimer of Liability

VSpace does not verify property titles, encumbrance certificates, land records, survey numbers, mutation entries, or any other legal documentation related to any property listed on the App. Users must independently conduct their own due diligence, including but not limited to title searches, encumbrance verification, and RERA registration checks.

No Guarantee of Availability

The listing of a property on the App does not guarantee that the property is currently available for sale, lease, or rent. Property status may change at any time, and there may be a delay between a status change and its reflection on the App.

Pricing Disclaimer

All prices displayed on the App are indicative and provided by developers/builders. Actual transaction prices may differ. The display of "Price Negotiable" indicates the developer's stated willingness to negotiate — VSpace makes no representation regarding actual negotiation outcomes.

Area and Measurement Disclaimer

Property areas, dimensions, and boundary coordinates displayed on the App are provided by developers/builders and may be approximate. Users should independently verify all measurements through qualified surveyors and official land records before making any purchase decisions.

Map and Location Disclaimer

Property locations displayed on the map are approximate and based on coordinates provided by developers/builders. Map boundaries, polygon outlines, and satellite imagery are for illustrative purposes only and should not be relied upon for boundary demarcation or legal purposes.

Liability Cap

Notwithstanding any other provision of these Terms, the Company's total aggregate liability to you for any and all claims arising out of or relating to your use of the App shall not exceed ₹5,000 (Indian Rupees Five Thousand only) or the amount paid by you to the Company in the three months preceding the claim, whichever is higher. This limitation applies to all causes of action in the aggregate, including breach of contract, tort, negligence, strict liability, and any other legal or equitable theory.

4. User Responsibilities

• You are responsible for maintaining the confidentiality and security of your Google account credentials used to access the App.
• You agree to provide accurate and current information during registration, including a valid phone number.
• You are solely responsible for conducting your own independent due diligence before engaging with any developer/builder or entering into any property transaction, including but not limited to:
  • Verifying property titles and ownership records
  • Checking RERA registration of the project and developer
  • Inspecting the physical property
  • Consulting legal and financial professionals
  • Verifying all measurements and boundary details with official land records
  • Checking encumbrance certificates and any pending litigation
• You acknowledge that VSpace is not responsible for the conduct, representations, or actions of any developer, builder, agent, or third party you interact with through or as a result of using the App.
• You are responsible for any communications you initiate with developers/builders using contact information obtained through the App.
• You agree to use the App only for lawful purposes related to property discovery and research.

5. Data Collection and Privacy

We collect and process personal data in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 ("DPDP Act") and applicable rules thereunder.

Data We Collect Upon Registration

• Name and display name (from your Google account)
• Email address (from your Google account)
• Profile photograph (from your Google account)
• Phone number (provided by you during sign-up)

Data Generated Through Your Use of the App

• Favourite properties saved by you
• Recently viewed properties
• Search history and search terms
• Property alert criteria (price range, property type, area preferences, alert frequency)
• Property reports submitted by you (reason, description)
• Contact/support requests submitted by you (category, message content)
• Properties shared and sharing platform used

Device and Technical Data

• Device location (only when you grant location permission; used solely for map-centred property discovery)
• Firebase Cloud Messaging (FCM) device tokens (for sending push notifications, including property alert matches)
• App usage analytics via Firebase Analytics (screen views, feature usage, property interactions)
• Crash reports via Firebase Crashlytics (device model, OS version, stack traces — no personal data)
• App performance metrics via Firebase Performance Monitoring (screen load times, network latency)
• Network connectivity status

Data Storage

• Your account data, favourites, and alerts are stored in Google Cloud Firestore servers
• Recently viewed properties, search history, and cached data are stored locally on your device using a SQLite database
• Search history is automatically deleted after 30 days
• Map tile data is cached locally with a 30-second time-to-live (TTL) for performance

Account Deletion

You may delete your account at any time through the Profile section of the App. Upon account deletion:

• Your Firestore user profile, favourites, alerts, FCM tokens, and related data will be permanently deleted
• Locally stored data (search history, recently viewed, cached data) will be cleared from your device
• Property reports and contact requests previously submitted by you may be retained in anonymised form for platform integrity and legal compliance purposes
• Account deletion requires re-authentication with your Google account for security

6. Prohibited Activities

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law
• Submit false, misleading, or fraudulent property reports
• Attempt to contact developers/builders for purposes of harassment, spam, or unsolicited commercial communications
• Scrape, crawl, or extract data from the App using automated tools or bots
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Circumvent, disable, or interfere with any security features of the App, including Firebase App Check attestation
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Use the App to collect or harvest personal information of developers, builders, or other users
• Transmit any viruses, malware, or other harmful code through the App
• Interfere with or disrupt the integrity or performance of the App or its related systems
• Create multiple accounts to circumvent any restrictions or limitations
• Use automated systems to generate property alerts or perform bulk operations

7. Intellectual Property

The App, including its design, layout, user interface, graphics, icons, code, algorithms, and all content created by the Company (excluding user-submitted content and developer-provided listing content), is the intellectual property of the Company and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India.

The VSpace name, logo, and brand elements are trademarks of the Company. You may not use these marks without prior written consent.

Property listing content (descriptions, images, prices, maps, master plans) displayed on the App is the intellectual property of the respective developers/builders who submitted it. The Company does not claim ownership over such content.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, non-commercial purposes in accordance with these Terms.

The map data and satellite imagery displayed in the App are provided by third-party mapping services (MapLibre, satellite tile providers) and are subject to their respective terms of use and licences.

8. Listing Accuracy Disclaimer

All property and layout listings on the App are created, managed, and maintained exclusively by the developers/builders who use the companion VSpace Builder application. The Company does not author, edit, or endorse any listing content.

Developers/builders are solely responsible for the accuracy, completeness, truthfulness, and legality of their listings, including but not limited to:

• Property descriptions, names, and specifications
• Prices, including per-square-foot rates and total prices
• Areas, dimensions, and plot sizes
• Photographs and master plan images
• Amenity and approval claims
• Property status (available, sold, etc.)
• Location coordinates and boundary markings
• Survey numbers, plot numbers, and hissa numbers

The Company reserves the right to remove or disable listings that are reported as fraudulent, misleading, or in violation of these Terms, but has no obligation to monitor or proactively review listing content.

If you believe a listing is inaccurate, misleading, or fraudulent, you may report it using the in-app reporting feature. Reports are reviewed by our team, but the Company does not guarantee any specific action or timeline.

9. No Transaction Liability

The Company shall not be liable for:

• Any financial loss arising from a property transaction with a developer/builder discovered through the App
• Any failure of a developer/builder to deliver a property, honour commitments, or complete a project
• Any disputes regarding price, quality, timeline, title, or any other matter between you and a developer/builder
• Any misrepresentation by a developer/builder regarding RERA registration, approvals, or project details
• Any fraud, cheating, or criminal activity by a developer/builder or any third party

You acknowledge and agree that any decision to purchase, invest in, or otherwise transact in a property is made entirely at your own risk and discretion.

10. RERA Compliance Note

Under the Real Estate (Regulation and Development) Act, 2016, real estate projects meeting specified thresholds must be registered with the Karnataka Real Estate Regulatory Authority (K-RERA) before being advertised or sold.

It is your responsibility to independently verify the RERA registration of any project and developer before entering into any transaction by visiting the official K-RERA website (https://rera.karnataka.gov.in) or contacting K-RERA directly.

The Company shall not be held liable for any loss or damage arising from your failure to verify RERA compliance or from a developer's failure to comply with RERA requirements.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Digital Personal Data Protection Act, 2023, and the Consumer Protection Act, 2019.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Vijayapura, Karnataka, India.

Dispute Resolution Process

• Good-Faith Negotiation: Before initiating any legal proceedings, the parties shall attempt to resolve the dispute amicably through good-faith negotiation for a period of thirty (30) days from the date of written notice of the dispute.
• Arbitration: If the dispute is not resolved through negotiation within thirty (30) days, either party may refer the dispute to sole arbitration under the Arbitration and Conciliation Act, 1996, as amended. The seat of arbitration shall be Vijayapura, Karnataka, India. The language of arbitration shall be English. The arbitrator's award shall be final and binding on both parties.
• Courts: Only if arbitration proceedings fail or are not initiated within sixty (60) days of the negotiation period ending shall the dispute proceed to courts of competent jurisdiction in Vijayapura, Karnataka, India.

Consumer Forum Rights

Nothing in the arbitration clause above shall restrict your right to approach any Consumer Dispute Redressal Commission under the Consumer Protection Act, 2019.

12. Grievance Officer

In accordance with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the details of the Grievance Officer are as follows:

The Grievance Officer shall acknowledge your complaint within twenty-four (24) hours of receipt and resolve it within fifteen (15) days from the date of receipt, in accordance with the IT (Intermediary Guidelines) Rules, 2021.

You may also raise grievances through the in-app "Contact Admin" feature under the Profile section.

13. Changes to Terms

The Company reserves the right to modify, update, or replace these Terms at any time. The updated Terms will be effective upon posting in the App with an updated "Last Updated" date.

For material changes, we will notify you through:

• An in-app notification or banner
• A push notification (if you have enabled notifications)
• An update to the "Last Updated" date at the top of this document

Your continued use of the App after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the App and delete your account.

We recommend that you review these Terms periodically to stay informed of any changes.

14. Termination of Account

Voluntary Termination

You may delete your account at any time through Profile → Delete Account in the App. Account deletion is permanent and irreversible.

Termination by Company

We reserve the right to suspend or terminate your account, with or without notice, if:

• You violate any provision of these Terms
• You submit false or fraudulent property reports
• You engage in activities that harm the integrity of the platform
• You use the App in a manner that may expose the Company to legal liability
• We are required to do so by law, regulation, or court order

Upon Termination

• Your access to the App will be immediately revoked
• Your personal data will be handled in accordance with the Account Deletion provisions in Section 5
• Provisions of these Terms that by their nature should survive termination (including Sections 3, 7, 9, and 11) shall survive

The Company may also discontinue the App or any feature thereof at any time, with reasonable notice where practicable.

15. Intermediary Status and Safe Harbour

The Company operates VSpace as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000. The Company does not initiate the transmission, select the receiver of the transmission, or select or modify the information contained in the transmission (i.e., property listings).

In accordance with Section 79 of the Information Technology Act, 2000, the Company shall not be liable for any third-party information, data, or communication link made available or hosted by it, provided it observes due diligence and complies with the IT (Intermediary Guidelines) Rules, 2021.

The Company shall comply with directions to remove or disable access to unlawful content only when such directions are issued by an authorised government officer of the rank of Joint Secretary or above (or equivalent rank), or pursuant to a valid order of a court of competent jurisdiction, in accordance with the IT (Intermediary Guidelines and Digital Media Ethics Code) Amendment Rules, 2025, effective November 15, 2025. The Company shall act expeditiously upon receiving such direction.

The Company shall update its terms, regulations, and privacy policy at least once annually and inform users of the same, in compliance with Rule 3(1)(f) of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

16. Miscellaneous

• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the use of the App.
• Assignment: The Company may assign its rights and obligations under these Terms to any affiliate or successor entity. You may not assign your rights or obligations under these Terms without prior written consent.
• Force Majeure: The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, war, pandemic, government actions, or disruptions to internet or telecommunications infrastructure.
• Language: These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
• No Agency: Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and the Company.

17. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:

• Your use of the App or any feature thereof
• Your reliance on any listing information displayed on the App
• Any transaction, negotiation, dispute, or communication between you and any developer, builder, or third party arising from your use of the App
• Your violation of any provision of these Terms
• Your violation of any applicable law or the rights of any third party

The Company reserves the right, at its own expense, to assume exclusive control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with the Company in asserting any available defences.
